Terms of Service

Welcome to Tilelli Stock Insights (the "Service"), a product of Tilelli Wealth Systems LLC ("Tilelli," "we," "us," or "our"), a Florida limited liability company based in Tampa, FL. By accessing or using the Service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

1. Acceptance of Terms

By creating an account, subscribing to a plan, or otherwise using any part of the Service, you represent and warrant that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy and Investment Disclaimer, which are incorporated herein by reference. These Terms constitute a legally binding agreement between you and Tilelli.

2. Eligibility

The Service is available only to individuals who are at least eighteen (18) years of age and reside in the United States. By using the Service, you represent and warrant that you meet these eligibility requirements. The Service is not intended for use outside the United States, and we make no representations regarding the legality or suitability of the Service in any other jurisdiction.

3. Account Registration and Security

To access certain features of the Service, you must register for an account by providing a valid email address and creating a password, or by signing in through a supported third-party authentication provider (e.g., Google). You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain the security and confidentiality of your login credentials.
  • Promptly notify us of any unauthorized access to or use of your account.
  • Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being used in violation of these Terms.

4. Subscription Plans, Billing, and Payments

4.1 Plans

The Service offers multiple subscription tiers, including a free tier with limited features and paid tiers ("Standard" and "Pro") that unlock additional capabilities such as portfolio analytics, AI-generated reports, and advanced tools. Specific features and pricing for each tier are described on our pricing page and are subject to change with reasonable notice.

4.2 Billing and Auto-Renewal

Paid subscriptions are billed on a recurring basis (monthly or annually, depending on the plan selected) through our payment processor, Stripe, Inc. By subscribing to a paid plan, you authorize us to charge the payment method on file at the beginning of each billing cycle. All paid subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.

4.3 Cancellation

You may cancel your subscription at any time through the billing section of the Service or via the Stripe Customer Portal. Upon cancellation, your subscription will remain active through the end of the current paid billing period. You will not receive a prorated refund for the remaining portion of that period, and your account will revert to the free tier at the end of the cycle.

4.4 Refund Policy

Subscription fees are generally non-refundable. However, if you believe you were charged in error or are unsatisfied with the Service, you may contact us at [email protected] within fourteen (14) days of a charge, and we will review your request on a case-by-case basis.

4.5 Price Changes

We reserve the right to modify subscription pricing. Any price increase will take effect at the start of your next billing cycle following at least thirty (30) days' notice by email or through the Service.

4.6 Fair Use & Rate Limits

All subscription tiers, including plans described as offering "unlimited" access to certain features, are subject to our Fair Use Policy. Tilelli Wealth Systems LLC reserves the right to apply reasonable rate limits, usage thresholds, and access controls at any time in order to prevent abuse, maintain platform stability, ensure equitable access for all users, and manage operational costs. Such measures may include, but are not limited to, daily request caps, per-minute burst guards, and monthly token ceilings. We will endeavor to set these limits at levels that do not materially impact normal, good-faith use of the Service. Violation of rate limits or patterns of excessive automated use may result in temporary throttling or suspension of access to affected features.

5. AI-Generated Content Disclaimer

The Service incorporates artificial intelligence ("AI") to generate market analyses, portfolio reports, risk assessments, sentiment summaries, portfolio construction suggestions, and other content (collectively, "AI-Generated Content"). All AI-Generated Content is provided for informational and educational purposes only. It does not constitute, and should not be interpreted as, investment advice, financial advice, tax advice, legal advice, or any recommendation to buy, sell, or hold any security or financial product.

AI-Generated Content is produced by automated systems using publicly available data and general analytical frameworks. It is not tailored to your specific financial situation, investment objectives, risk tolerance, or personal circumstances. The accuracy, completeness, and timeliness of AI-Generated Content are not guaranteed. You acknowledge and agree that you use AI-Generated Content at your own risk.

6. Investment and Financial Disclaimer

Tilelli Wealth Systems LLC is a financial technology and education company. We are not a registered investment advisor, broker-dealer, or financial planner. We are not registered with the U.S. Securities and Exchange Commission (SEC), the Financial Industry Regulatory Authority (FINRA), or any state securities regulatory authority. We do not provide personalized investment advice, manage investment portfolios on your behalf, or act as a fiduciary.

All information and tools provided through the Service — including portfolio tracking, AI analysis, projected returns, risk metrics, and allocation suggestions — are for informational and educational purposes only. Past performance does not guarantee future results. Investing involves risk, including the possible loss of principal. You are solely responsible for your own investment decisions and should consult with a qualified, licensed financial advisor before making any investment.

7. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

  • Use automated scripts, bots, scrapers, or similar tools to access or extract data from the Service.
  • Attempt to gain unauthorized access to any systems, servers, or networks associated with the Service.
  • Redistribute, resell, republish, or sublicense any data, content, or output obtained from the Service without our prior written consent.
  • Use the Service to engage in any activity that is fraudulent, misleading, harmful, or illegal.
  • Interfere with or disrupt the integrity, performance, or availability of the Service.
  • Circumvent, disable, or otherwise interfere with any security, rate-limiting, or usage-control features of the Service.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.
  • Use the Service to provide investment advice or financial advisory services to third parties.

We reserve the right to suspend or terminate your account and access to the Service, without prior notice, if we determine in our sole discretion that you have violated this Acceptable Use Policy.

8. Intellectual Property

All content, features, functionality, and design elements of the Service — including but not limited to text, graphics, logos, trademarks, software, and the arrangement thereof — are the property of Tilelli Wealth Systems LLC or its licensors and are protected by United States and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use, subject to these Terms.

You retain ownership of any data you enter into the Service (such as portfolio holdings and notes). However, you grant us a limited license to process, store, and display that data solely to provide and improve the Service.

9. Third-Party Data and Services

The Service displays market data, financial data, and news sourced from third-party providers. Such data may be delayed, inaccurate, or incomplete. We do not guarantee the accuracy, availability, or timeliness of any third-party data. The inclusion of third-party data does not constitute an endorsement of, or guarantee about, the source.

Certain features of the Service integrate with third-party services, including but not limited to Stripe (for payment processing) and AI inference platforms (for generating AI-Generated Content). Your use of such third-party services is subject to their respective terms and privacy policies.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TILELLI WEALTH SYSTEMS LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

  • Your use of, or inability to use, the Service.
  • Any reliance on AI-Generated Content, market data, or other information provided through the Service.
  • Any investment losses or financial decisions made based on information obtained through the Service.
  • Unauthorized access to, or alteration of, your data or transmissions.
  • Any third-party conduct or content on or through the Service.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

11. Indemnification

You agree to indemnify, defend, and hold harmless Tilelli Wealth Systems LLC, its officers, directors, members, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of any third party; or (d) any investment decisions made using information obtained through the Service.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict-of-laws principles. You agree that any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Hillsborough County, Florida, and you irrevocably submit to the personal jurisdiction of such courts.

13. Dispute Resolution

Before initiating any formal legal proceeding, you agree to first contact us at [email protected] and attempt to resolve the dispute informally for a period of at least thirty (30) days. If informal resolution is not successful, either party may pursue its legal remedies in accordance with the governing law and jurisdiction provisions above.

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will provide notice by email, through the Service, or by updating the "Last Updated" date at the top of this page. Your continued use of the Service after such notice constitutes your acceptance of the revised Terms. If you do not agree with the changes, you should discontinue use of the Service and cancel your subscription.

16. Termination

We may terminate or suspend your account and access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination — including, without limitation, ownership provisions, warranty disclaimers, indemnification, and limitations of liability — shall survive.

17. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

18. Entire Agreement

These Terms, together with the Privacy Policy and Investment Disclaimer, constitute the entire agreement between you and Tilelli Wealth Systems LLC regarding the Service and supersede all prior and contemporaneous agreements, understandings, and communications.
